1. Definitions

1.1. In these general terms and conditions, Vedder Diamonds B.V. uses the following terms with the meanings included below:

Order: the order you place via the Vedder.Diamonds Website; You/your: the natural person (consumer) who uses the Website and/or purchases Products via the Website; Gift card(s): the gift card(s) issued by Vedder.Diamonds; Agreement: the agreement whereby you purchase Products via the Website; Product(s): the Products of the Vedder.Diamonds brand offered by Vedder.Diamonds on its Website; Vedder.Diamonds/we/us/our: the private limited liability company Vedder Diamonds B.V., reachable by email via info@vedder.diamonds; Terms: these general terms and conditions; Website: the Vedder.Diamonds website

2. Agreement between you and Vedder.Diamonds

2.1. These Terms apply to your use of the Vedder.Diamonds Website, every offer from Vedder.Diamonds and to every Agreement concluded.

2.2. Before the Agreement is concluded, the text of these Terms will be made available to you via the Website and the Terms can be downloaded via the Website at all times.

2.3. All offers from Vedder.Diamonds, whether verbal, written or by telephone, are non-binding, unless Vedder.Diamonds has expressly included a term for acceptance. The Website therefore does not contain binding offers, unless otherwise stated.

2.4. Offers from Vedder.Diamonds are based on information provided by you, and you guarantee that this information is correct. An Agreement is concluded by written or electronic confirmation from Vedder.Diamonds.

2.5. Vedder.Diamonds collects and processes your personal data in line with our Privacy Policy.

2.6. Vedder.Diamonds is permitted to unilaterally change these Terms. The amended terms will then also apply to existing Agreements between you and Vedder.Diamonds. If the change of essential terms is to your disadvantage, you have the right to terminate the Agreement with Vedder.Diamonds without costs or compensation within 14 days after Vedder.Diamonds has informed you about the new general terms and conditions, observing a notice period of 14 days.

3. Orders

3.1. By placing an Order on the Website, you agree to these Terms. In principle, you will receive an order confirmation immediately after placing the Order. Subsequently, you will receive (except in case of pre-orders) an email when your Order has been put into production and when your Order is shipped.

3.2. To place an Order, you must have an email address. It is possible to order as an existing customer or as a guest.

a) Once you have received a confirmation email, you have 4 hours during working hours (9:00 AM to 5:00 PM) to cancel or modify your Order by contacting our customer service. The cancellation and modification options may differ in case of (temporary) actions and promotions.

3.3. Vedder.Diamonds reserves the right to modify an Order, for example if the requested specification, combination or engraving is not possible.

3.4. If an Order unfortunately cannot be delivered, you will be informed as soon as possible. If the Order has already been paid, an attempt will be made to refund the payment via the payment method you used. If the refund must be done in another way, Vedder.Diamonds will inform you and ask you to contact customer service who will handle the refund.

3.5. The Order confirmation shows your total price, including taxes and shipping costs. At that moment the Agreement is concluded.

3.6. Whether an Order can be delivered depends on availability. We can cancel the Order if, among other things: the Product is not available, the materials or raw materials are not available, if the (invoice) details you entered are not correct or verifiable, if there is an unusual Order, if you are younger than 16 years, if payment is not made on time or due to events or circumstances beyond our control.

3.7. Vedder.Diamonds reserves the right to suspend fulfillment of its obligations in case of force majeure. This is in any case the case if, due to a certain circumstance or event, it can reasonably no longer be expected from Vedder.Diamonds that it will further fulfill its obligation(s), even if that circumstance was foreseeable at the conclusion of the Agreement. Force majeure includes at least (non-exhaustive): storm damage and other natural disasters, exclusions, call-up or war danger, illness of irreplaceable employees, force majeure and/or non-(timely) fulfillment by Vedder.Diamonds' supplier(s), fire and other accidents in the company as well as all measures taken or issued by the government and in general all circumstances that fall outside Vedder.Diamonds' sphere of influence.

3.8. The dimensions of the Products are guidelines only and may differ, partly because the Products are often made by hand and/or to order. Vedder.Diamonds reserves the right to a margin of 1cm for chains, a whole size for bracelets and 1/4 size for rings. In addition, the displayed color and material of the Products depends on various factors, such as screen quality, use of a phone, desktop or tablet and various environmental factors. Obvious mistakes or obvious errors in the offer on the Website do not bind Vedder.Diamonds.

4. Payment and prices

4.1. Prices and rates communicated by Vedder.Diamonds via the Website or otherwise are inclusive of VAT, packaging costs and other taxes and/or levies that are (possibly) imposed on the Products, but exclusive of delivery and transport costs and exclusive of import and export costs regarding delivery of products outside the EU.

4.2. If one or more cost factors increase after the start date of the Agreement, Vedder.Diamonds may increase the agreed price. This is the case, for example, if taxes are increased or purchase prices for Vedder.Diamonds increase significantly. In case of a price increase, you can terminate the Agreement.

4.3. Received a free promotional item? At a certain spending amount, you receive a promotional product with your order from us. The promotional product is then added to the order overview and invoice with a value of €0.-. If you return products from your order and fall below the spending amount/conditions for the free promotional product? Then you must also return this promotional product within 14 days, otherwise we will charge the value of the promotional product. Vedder.Diamonds has the right to deduct the value of the promotional product from the value of the returned products and offset this against the amount we refund you after return. Vedder.Diamonds also reserves the right to suspend restitution of the value of returned product(s) until the obtained promotional product has been returned or until the original amount of the promotional product has been paid.

5. Delivery and retention of title

5.1. All terms communicated by Vedder.Diamonds for Products to be delivered by it are indicative. These are not fatal terms. In case of exceeding the (delivery) terms communicated by Vedder.Diamonds, Vedder.Diamonds will inform you as soon as possible. If the term is exceeded by more than 4 weeks from the moment you received the email that the Product has been put into production, you have the right to undo the purchase and you are entitled to restitution of the purchase price.

5.2. Shipping and transport of the Products to you is at the risk of Vedder.Diamonds. The risk transfers at the moment you or a third party designated by you takes receipt of the Order. This also means that Vedder.Diamonds is no longer responsible for the Products once you have received them. Circumstances that occur after the Products have been delivered – such as damage due to an accident, loss or theft of the Products – are exclusively at your risk. Vedder.Diamonds may deliver the Order in different parts.

5.3. You are obliged to accept the Products when they are made available to you.

5.4. If you do not pay the owed costs to Vedder.Diamonds (on time), Vedder.Diamonds reserves the right to refuse delivery of the Products until you have paid all owed amounts, without prejudice to (and thus not instead of) other rights under the law or the Agreement.

5.5. All Products delivered by Vedder.Diamonds remain the property of Vedder.Diamonds until all claims that Vedder.Diamonds has or obtains against you based on Agreements (including any related (collection) costs and interest) have been fully paid.

6. The right of withdrawal

6.1. You can cancel your Order from the date you placed the order until 14 days after receipt of the ordered Products without giving reasons, except for the cases mentioned below under 6.2 and 6.7. This cooling-off period starts on the day of receipt of the last Product of the Order. The Product is received when it has been received by you or by a third party on your behalf or when it has been received by a package pickup location.

6.2. Contrary to 6.1, you can only cancel the Order of one (or more) Gift card(s) within 14 days after concluding the Agreement, regardless of whether you have already received the Gift card(s). The Agreement is concluded as soon as Vedder.Diamonds confirms the Order of a gift card.

6.3. If you want to exercise the right of withdrawal, Vedder.Diamonds requests you to report this to our customer service via the following email address: info@vedder.diamonds

6.4. The Products you wish to return must be sent back to Vedder.Diamonds within 14 days after invoking the right of withdrawal. The costs of returning (part of) the Order are at your expense.

6.4.1. When purchasing multiple items from a set, or a stacking discount obtained when purchasing multiple items, all items must be returned to us. With an incomplete return, the obtained discount expires.

6.5. Vedder.Diamonds guarantees full compensation for actually returned Products, except for return costs, provided that all Products are returned in the same unused condition as they were in upon receipt. This means that the Products may not be damaged, dirty, changed or worn (other than fitting the product) and that labels, tags or price tags have not been removed. The Products must be complete, including all parts and accessories.

6.6. Vedder.Diamonds endeavors to refund the money as quickly as possible and in the same way as you paid, no later than 14 days after receipt of your appeal to the right of withdrawal, provided that Vedder.Diamonds has received the Products, or proof that the Products have been returned. A different payment method can be used for the refund if you give permission for this. This will not entail any additional costs. If you paid with a Gift card, you will receive a new digital Gift card as a refund.

6.7. Contrary to 6.1, the right of withdrawal does not apply to the following Products:

a) Products made according to your specifications and/or personalized, such as:

• Products with a fingerprint
• Products with personalized text; and
• Other Products specially personalized for you, as indicated on the Website

b) Sealed Products that are not suitable for return for health protection or hygiene reasons, such as earrings and Products that have been removed from/from the original packaging.

c) Products from the Archive sale

6.8. During the cooling-off period as mentioned in article 6.1 of these Terms, you must handle the Product and packaging carefully. You may only unpack or use the Product to the extent necessary to determine the nature, characteristics and functioning of the Product. The principle here is that you may only handle and inspect the Product as you would be allowed to do in a store.

7. Warranty

7.1. Vedder.Diamonds warrants that the Products comply with the Agreement, the specifications mentioned in the offer, the reasonable requirements of soundness and/or usability and the legal provisions and/or government regulations existing on the date of conclusion of the Agreement.

7.2. Complaints about delivered Products must be reported in writing to info@vedder.diamonds within a reasonable time after discovery. Vedder.Diamonds wishes to receive complaints as soon as possible, so we can offer you the best service.

7.3. Vedder.Diamonds offers the following warranty periods:

• 6 months in case of defects in all Products; and
• 12 months on jewelry of 9 and 14 karat.

7.5. The warranty does not apply if:

a. there are signs of use, discoloration and/or normal wear as a result of use of the Product;

b. you have repaired and/or processed the delivered Products yourself or had them repaired and/or processed by third parties;

c. Products have been exposed to abnormal conditions or are otherwise treated carelessly or have been treated contrary to the instructions of Vedder.Diamonds and/or on the packaging.

d. External causes occur after delivery that damage or lose the Products, such as accidents, loss or theft.

e. It concerns a purchase from the Archive Sale.

7.6. Vedder.Diamonds provides warranty for two (2) years after delivery on the Products delivered by it for material and manufacturing defects, which means that Vedder.Diamonds repairs defects in the delivered Products at its expense or – if Vedder.Diamonds deems it necessary – arranges for replacement. The foregoing does not affect the warranty you are entitled to under the law.

7.7. Vedder.Diamonds expressly does not guarantee that the statements and information on the Website are complete and/or correct. The information on the Website is intended as general information and does not contain advice unless expressly stated otherwise. Vedder.Diamonds strives to keep the Website up-to-date, but makes no commitment that the Website is complete, accurate, reliable, accessible or suitable for any purpose. If you use the information on the Website, you do so entirely at your own expense and risk.

8. Intellectual property rights

8.1. Vedder.Diamonds has and retains all (intellectual) (property) rights with respect to all Products and all content and materials on the Website.

8.2. All names, brands, logos and titles used on the Website are trademarks or trade names of Vedder.Diamonds or third parties. Use or reproduction thereof is absolutely not permitted, as this may infringe intellectual property rights (of third parties).

9. Website

9.1. By using the Website, you agree to these general (terms of) use. The Website may only be used for private purposes. It is prohibited to use the Website for any commercial purpose.

9.2. You are only allowed to use the Website for the purpose of possibly placing an Order and/or contacting Vedder.Diamonds. All content and materials made available by Vedder.Diamonds via the Website are the exclusive property of Vedder.Diamonds. It is therefore prohibited to use the content and materials for any other purpose.

9.3. It is prohibited to copy, document, share, modify, distribute, reproduce or otherwise use the content and materials on the Website in a way that gives any third party access.

9.4. The Website may contain links to external websites. Vedder.Diamonds emphasizes that Vedder.Diamonds has no influence on the layout or content of those external websites and expressly distances itself from the layout and content on any third-party website.

10. Shipping

10.1. Vedder.Diamonds tries to process Orders as quickly as possible and in order of receipt. We strive to deliver within 1 to 3 working days after confirmation of an Order, except for personalized Products and unless otherwise agreed. Although we strive to deliver within the set term, delays may occur due to unexpected events.

10.2. We emphasize that we depend on the relevant delivery service for the time of shipment and that we cannot exert any influence on this.

10.3. We deliver our Products worldwide. All possible (extra) customs costs are not reimbursed by Vedder.Diamonds.

10.4. Do you need your Product earlier? Then we have a VIP service available for many of our Products. If you choose this option on working days before 12:00 PM when placing your Order, your order will be shipped the same day.

10.5. Before you place an Order, you are informed about the expected delivery time. After placing an Order, you receive a confirmation by email, including the expected delivery time, which is no more than an indication. After the Product has left the workshop, you receive an email with the Track & Trace code.

10.6. If your order does not arrive on the planned date, please contact customer service via info@vedder.diamonds.

11. Payment methods

11.1. You can pay for your items in various ways. For more information about payment options, we refer you to our Website.

11.2. If you do not fulfill your payment obligation(s) on time, after Vedder.Diamonds has pointed out the late payment and has given you a period of 14 days to still fulfill the payment obligations, after payment fails to materialize within this 14-day period, you owe statutory interest on the amount still owed and Vedder.Diamonds is entitled to charge the extrajudicial collection costs incurred by Vedder.Diamonds.

12. Disputes and applicable law

12.1. If you have a complaint about our products or services, please first contact us via info@vedder.diamonds. If your complaint has not been handled to your satisfaction, you can use the ODR platform (https://ec.europa.eu/consumers/odr), but that is not an obligation.

12.2. Agreements between you and Vedder.Diamonds to which these Terms apply are exclusively governed by Dutch law. The Vienna Sales Convention (CISG) does not apply.
